Terms of Service

Welcome to Burn Velocity. These Terms of Service ("Terms") govern your access to and use of our digital video production and media preparation services. By engaging with our services, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By accessing our website, submitting project inquiries, or utilizing any of our video production services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, as well as our Privacy Policy and Cookie Policy. If you do not agree with any part of these Terms, you must discontinue use of our services immediately.

2. Services Provided

Burn Velocity specializes in digital video production and media preparation services. Our core offerings include, but are not limited to:

  • Digital Visual Assembly: Preparation of digital video sequences, organization of visual scene composition, and creation of structured visual timelines for online media projects.
  • Dynamic Motion Content Preparation: Design and integration of motion-based visual segments, animated overlays, transition elements, and short-form visual assets optimized for digital platforms.
  • Screen Media & Presentation Video Support: Editing and formatting of presentation-oriented video materials, screen-recorded demonstrations, and instructional visual content for corporate and educational purposes.
  • Online Video Packaging & Export Services: Optimization of video files for various digital formats, preparation of media assets for web and mobile viewing, and comprehensive organization of video content libraries.

Important Limitation: All services provided by Burn Velocity are production and editing-focused in nature. We do not engage in, nor do we offer services related to: broadcasting, streaming platform operations, content licensing, media distribution, rights management, or any form of content delivery network operations.

3. Client Responsibilities

Clients engaging with Burn Velocity for video production services are responsible for:

  • Providing accurate project requirements, specifications, and timelines during the initial consultation phase.
  • Supplying all necessary source materials, including raw video footage, audio files, graphics, logos, and any other assets required for project completion, in formats compatible with industry-standard video editing software.
  • Ensuring that all materials provided are free from copyright infringement, trademark violations, and other intellectual property conflicts. Clients warrant that they possess all necessary rights and permissions for materials submitted.
  • Responding to revision requests, approval submissions, and communication from our production team in a timely manner to avoid project delays.
  • Making payments according to the agreed-upon pricing structure and payment schedule outlined in project proposals or service agreements.

4. Intellectual Property Rights

4.1 Client-Provided Materials

All intellectual property rights in materials provided by the client, including but not limited to logos, brand assets, pre-existing video footage, audio recordings, and written content, remain the exclusive property of the client. Burn Velocity will utilize these materials solely for the purpose of fulfilling the contracted services and will not claim ownership or licensing rights unless explicitly agreed upon in writing.

4.2 Work Product and Deliverables

Upon full payment for services rendered, the client receives a perpetual, non-exclusive, worldwide license to use the final edited video content and associated deliverables for their intended commercial or personal purposes. However, Burn Velocity retains the right to use completed projects for portfolio display, promotional marketing materials, case studies, and other business development activities unless the client specifically requests confidentiality in writing prior to project commencement.

4.3 Third-Party Assets

If Burn Velocity incorporates third-party stock footage, music, sound effects, or graphic elements into a project, the client is responsible for ensuring proper licensing of these materials for their intended use. Burn Velocity will provide guidance on licensing requirements but cannot guarantee compliance with all third-party licensing terms unless explicitly managed as part of a comprehensive service package.

5. Pricing, Payment Terms, and Refund Policy

5.1 Pricing Structure

All service pricing is determined on a per-project or subscription basis, as outlined in our Pricing section and confirmed through individual project proposals. Pricing may vary based on project complexity, turnaround time, revision requirements, and additional services requested.

5.2 Payment Schedule

For standard projects, a deposit of 50% of the total project cost is required before work commences. The remaining balance is due upon project completion and delivery of final files. For subscription-based services, payments are processed on a recurring monthly basis according to the selected tier.

5.3 Late Payments

Invoices not paid within 15 days of the due date may be subject to a late fee of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is lower. Burn Velocity reserves the right to suspend services or withhold final deliverables until all outstanding balances are settled.

5.4 Refund Policy

Due to the custom nature of video production services, refunds are evaluated on a case-by-case basis. If a client is dissatisfied with the work produced, they must notify Burn Velocity within 7 days of receiving the first draft. We will work collaboratively to address concerns through revisions. If the issue cannot be resolved to the client's satisfaction, a partial refund may be issued based on the percentage of work completed at the time of cancellation. No refunds will be issued after final deliverables have been approved and delivered.

6. Project Revisions and Modifications

All service packages include a specified number of revision rounds as outlined in the project proposal. Additional revisions beyond the agreed-upon limit may incur extra charges based on the scope and complexity of requested changes. Clients are encouraged to provide comprehensive feedback during designated revision phases to minimize additional costs and project delays.

7. Project Timelines and Delivery

Burn Velocity is committed to meeting agreed-upon project deadlines. However, timelines are contingent upon timely client feedback, approval of drafts, and the provision of all necessary materials. Delays caused by client inaction, late material submissions, or scope changes may result in adjusted delivery dates. In cases of unforeseen technical issues or force majeure events, Burn Velocity will communicate any delays promptly and work to minimize their impact.

8. Confidentiality and Non-Disclosure

Burn Velocity respects the confidentiality of all client information and project materials. We will not disclose proprietary information, trade secrets, or sensitive business data to third parties without explicit client consent, except as required by law. Clients who require formal confidentiality agreements may request a Non-Disclosure Agreement (NDA) prior to project initiation.

9. Limitation of Liability

To the fullest extent permitted by law, Burn Velocity shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services, including but not limited to lost profits, business interruption, data loss, or reputational harm. Our total liability for any claims related to our services shall not exceed the total amount paid by the client for the specific project in question.

10. Indemnification

Clients agree to indemnify, defend, and hold harmless Burn Velocity, its officers, employees, contractors, and affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorney fees) arising from:

  • Client-provided materials that infringe upon third-party intellectual property rights.
  • Misuse of final deliverables in violation of applicable laws or third-party licensing agreements.
  • Breach of these Terms of Service by the client or any party acting on their behalf.

11. Termination of Services

Either party may terminate a service agreement with written notice. If the client terminates a project before completion, they are responsible for payment of all work completed up to the termination date, including any non-refundable deposits. Burn Velocity reserves the right to terminate services if a client engages in abusive behavior, fails to make payments, or violates these Terms of Service.

12. Dispute Resolution and Governing Law

Any disputes arising from these Terms of Service or the use of Burn Velocity's services shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes will be subject to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Castle Rock, Colorado. These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions.

13. Modifications to Terms

Burn Velocity reserves the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services following any modifications constitutes acceptance of the revised Terms. Clients are encouraged to review this page periodically to stay informed of any changes.

14. Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

15. Entire Agreement

These Terms of Service, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between the client and Burn Velocity regarding the use of our services and supersede all prior agreements, understandings, or representations, whether written or oral.
